UPON ACCEPTANCE OF THIS SOFTWARE EVALUATION LICENSE AGREEMENT (THE "AGREEMENT"), CYBERTEAMS GRANTS TO THE REQUESTER A LIMITED NON-EXCLUSIVE LICENSE TO USE WEBDAV ADD-ON MODULE SOFTWARE AND DOCUMENTATION (THE "PROGRAM") AS FOLLOWS:

LICENSE:
Following download, Licensee may install and use the Program solely for installation on the computer system and for the number of users specified in the License to be delivered by CyberTeams. Licensee may make one copy of the Program for backup purposes. Licensee shall not remove any copyright notices or other proprietary notices from the Program, and Licensee must reproduce such notices on all copies or extracts of the Program.

OWNERSHIP:
The Program is owned by CyberTeams, Inc., and is protected by copyright laws. Licensee acquires only the non-exclusive right to use the Program, at no charge for the time period specified in the temporary license to be delivered by CyberTeams, and does not acquire any right of ownership in the Program.

RESTRICTIONS:
Licensee may NOT nor permit anyone else to copy, distribute, electronically transfer, reverse assemble or reverse compile the Programs or any portion thereof, or translate or convert them to human readable form. If Licensee or any agent of Licensee modifies, reverse engineers, reverse assembles, or makes any modifications to the code, any such action automatically terminates this license agreement and CyberTeams is not responsible for any side effects resulting from such reverse engineering. Licensee may not nor permit anyone else to enhance, improve, adapt or modify the Program, except as expressly permitted or required by CyberTeams. In the event Licensee or any agent of Licensee devises, designs, discovers or formulates any enhancement, improvement, adaptation or modification ("the Work") to the Programs, Licensee shall provide full details thereof to CyberTeams who shall have exclusive ownership of the Work. Licensee may not use the Programs for any development, commercial or production purpose until this license is converted to a purchase license and payment is made to CyberTeams.

WARRANTY DISCLAIMER:
The Program is provided on an "as is" basis, without warranty of any kind, including without limitation the warranties of merchantability, fitness for a particular purpose and non-infringement. CyberTeams does not warrant that the Programs will meet Licensee’s requirements, nor does it warrant that the operation of the Programs be error-free. Licensee agrees to assume the responsibility to take adequate precautions against damages to Licensee’s operations which could be caused by defects or deficiencies in the Program.

LIMITATION ON LIABILITY:
NEITHER CYBERTEAMS NOR ITS LICENSORS SHALL BE LIABLE FOR ANY LOSS OR DAMAGE HEREUNDER, INCLUDING, WITHOUT LIMITATION, ANY INACCURACY OF DATA, LOSS OF PROFITS OR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES INCLUDING NEGLIGENCE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THIS LIMITATION MAY NOT APPLY.

SUPPORT:
The Free Trial Version of the Program is provided on an "as is" basis. One hour of installation and setup assistance is provided during the first seventy-two (72) hours following download of the Program. This Agreement does not entitle Licensee to any other maintenance, services, updates or new versions of the Programs.

NONDISCLOSURE:
Licensee agrees to limit disclosure of the Program to those employees or contractors who (a) have a legitimate need for access to the Program, and (b) have similarly agreed in writing to preserve and protect the Program from unauthorized use, disclosure or access. Licensee agrees to use and protect the Program from unauthorized use, disclosure or access by using the same degree of care that Licensee uses take to protect Licensee’s information of a similar nature.

TERMINATION:
License to use the Program automatically terminates when the license issued by CyberTeams expires. Upon termination, Licensee will promptly discontinue use of and destroy all copies of the Program then in Licensee’s possession or control. In addition, CyberTeams may at its option terminate this Agreement upon notice to Licensee. All disclaimers of warranties and limitations of liability shall survive any termination of this Agreement.

BY AGREEING TO THE ABOVE CONDITIONS, LICENSEE ACKNOWLEDGES THAT LICENSEE HAS READ, UNDERSTANDS AND AGREES TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT LICENSEE IS DULY AUTHORIZED TO DO SO.
